Terms of Service
Welcome to ZCOMMERZ! By registering for a ZCOMMERZ Account or by using any ZCOMMERZ Services, you are agreeing to be bound by the following terms and conditions (the "Terms of Service" or "Agreement").
As used in these Terms of Service, "we", "us", "our", and "ZCOMMERZ" refer to Software shop Limited, the owner and operator of the ZCOMMERZ platform, and "you" or "Merchant" means the individual or business entity registering for or using the ZCOMMERZ Services.
ZCOMMERZ is a Software-as-a-Service (SaaS) based e-commerce platform that enables merchants to create, manage, and operate their own online stores. The platform provides tools and infrastructure for building websites, listing products, managing inventory, and selling directly to customers, on a monthly or yearly subscription basis.
Please read these Terms of Service carefully. By accessing or using ZCOMMERZ, you confirm that you have read, understood, and agree to be bound by this Agreement in its entirety.
1. Account Terms
To access and use the Services, you must register for a ZCOMMERZ account ("Account"). To complete registration, you must provide your full legal name, business address, phone number, a valid email address, and any other information indicated as required. ZCOMMERZ may reject your application for an Account, or cancel an existing Account, at our sole discretion.
By creating an Account, you represent and warrant that:
You are responsible for maintaining the confidentiality of your Account login credentials. ZCOMMERZ cannot and will not be liable for any loss or damage resulting from your failure to keep your Account secure. You must immediately notify ZCOMMERZ of any suspected unauthorized access to your Account.
ZCOMMERZ will use the email address you provide as the primary method of communication. You must ensure this address remains active and capable of sending and receiving messages.
2. Account Activation and Store Setup
2.1 Store
The person or entity completing registration will be designated as the Account Holder and will be the authorized contracting party under these Terms. If you are registering on behalf of your employer or another organization, that organization shall be the Account Holder, provided you have the authority to bind them to this Agreement. A single Account Holder may operate multiple ZCOMMERZ Stores, each governed separately under the terms of this Agreement.
2.2 Staff Accounts
Depending on your subscription plan, you may create one or more staff accounts to allow other individuals to access and manage your Store. The Store Owner is responsible for ensuring all staff members comply with these Terms of Service and for any actions or breaches of these Terms committed by staff members.
2.3 Payment Integrations
Upon completing Account setup, ZCOMMERZ may enable or assist in configuring the payment gateway SSLCOMMERZ. SSLCOMMERZ is a service governed by its own separate terms and conditions. It is your sole responsibility to activate, maintain, and deactivate your SSLCOMMERZ account associated with your Store.
3. ZCOMMERZ Platform Rights
ZCOMMERZ reserves the right, at its sole discretion, to modify or discontinue any feature or aspect of the Services at any time, with or without notice, and without liability to you.
ZCOMMERZ reserves the right to refuse or remove any content, product listings, or materials from any part of the platform if we determine, in our sole discretion, that such content violates our Acceptable Use Policy or these Terms of Service.
Verbal or written abuse of any ZCOMMERZ employee, officer, or representative, including threats of any kind, will result in immediate Account termination.
ZCOMMERZ does not offer exclusivity to merchants. We reserve the right to provide our Services to any individual or entity, including businesses that may compete with you. ZCOMMERZ employees and contractors will not use your Confidential Information to benefit competitors.
In the event of any dispute regarding Account ownership, ZCOMMERZ may request supporting documentation to determine the rightful owner. ZCOMMERZ reserves the right to suspend an Account pending resolution of any such dispute.
4. Merchant Responsibilities
4.1 Platform Role Clarification
ZCOMMERZ is a technology and platform provider only. It does not own, control, or manage the products, services, or transactions conducted by merchants on their stores. ZCOMMERZ is not the seller or merchant of record for any transaction made through your Store. All commercial activities including product listings, pricing, order fulfillment, and customer interactions are managed independently by you.

You represent and warrant that:

You are solely responsible for all aspects of the relationship with your customers, including product quality, accuracy of descriptions, pricing, order fulfillment, shipping, returns, refunds, customer complaints, and dispute resolution. ZCOMMERZ is not a marketplace. Any contract of sale made through your Store is directly and solely between you and your customer. ZCOMMERZ shall not be held liable for any disputes, damages, or liabilities arising between merchants and customers.
4.4 Store Transparency
You agree to maintain accurate public-facing information on your Store, including your business name, physical address, telephone number, email address, terms of service, refund policies, shipping policies, and disclosure of any third-party suppliers or fulfillment services you use.
5. Payment of Fees and Taxes
Access to the ZCOMMERZ platform is provided on a prepaid subscription basis only. ZCOMMERZ offers monthly and yearly subscription plans, and all applicable charges are referred to as the “Fees.”
All subscriptions must be paid in advance. Upon expiry of the subscription period, your Account and Store will be automatically deactivated unless the subscription is renewed.
After subscription expiry, you will have a 7-day review period during which you may renew your subscription and restore access to your Account and Store. If the subscription is not renewed within this 7-day period, your Account and all associated Store data may be permanently deleted and cannot be recovered.
All Fees are stated in Bangladeshi Taka (BDT) or the applicable local currency as shown on your billing page, unless otherwise specified.
You are solely responsible for all taxes, duties, and levies arising from your use of the ZCOMMERZ Services or from sales made through your Store. ZCOMMERZ is not responsible for determining, collecting, or remitting any taxes on your behalf, except where expressly required by law.
All subscription payments are non-refundable, including unused periods.
6. Confidentiality
"Confidential Information" means any non-public information belonging to a party, including but not limited to business strategies, customer data, technical processes, pricing, and software.
Each party agrees to use the other's Confidential Information solely as necessary to perform obligations under this Agreement, and will take reasonable steps to prevent unauthorized disclosure or use of such information.
Confidential Information does not include information that: (a) is or becomes publicly known through no breach of this Agreement; (b) is independently developed without reference to the other party's Confidential Information; or (c) is lawfully received from a third party without restriction.
7. Limitation of Liability and Indemnification
To the fullest extent permitted by applicable law, ZCOMMERZ and its affiliates, officers, directors, employees, and agents shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with your use of the Services, including loss of revenue, profits, data, goodwill, or any damages arising from transactions between you and your customers.
You agree to indemnify, defend, and hold harmless ZCOMMERZ and Software Shop Limited, their affiliates, officers, directors, employees, and partners from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your breach of these Terms, your violation of any applicable law, any products or services you offer through your Store, or any dispute between you and a customer or third party.
The Services are provided on an "as is" and "as available" basis without any express or implied warranty. ZCOMMERZ does not warrant that the Services will be uninterrupted, error-free, or free from viruses or other harmful components.
Cybersecurity, Data Loss, and System Incidents: Notwithstanding any other provision of these Terms, ZCOMMERZ, Software Shop Limited, and their respective affiliates, officers, directors, employees, and agents shall bear absolutely no liability whatsoever whether in contract, tort, negligence, or otherwise for any loss, damage, or harm arising from or in connection with: (a) any unauthorized access to, hacking of, or breach of your Account, Store, or any data stored or transmitted through the platform; (b) any loss, corruption, deletion, or unauthorized disclosure of your data or your customers' data, howsoever caused; (c) any cyberattack, ransomware, malware, phishing, distributed denial-of-service (DDoS) attack, or any other malicious act or security incident affecting the platform or your Store; (d) any system failure, server outage, infrastructure disruption, or force majeure event resulting in unavailability of or damage to the Services; or (e) any third-party interception of data during transmission through the platform. You acknowledge and agree that you use the platform entirely at your own risk with respect to data security, and it is your sole responsibility to maintain independent backups of all your Store data, customer data, and business records. ZCOMMERZ makes no representation or warranty regarding the security of any data stored on or transmitted through the platform and expressly disclaims all liability in this regard to the maximum extent permitted by applicable law.
8. Intellectual Property
8.1 Your Content
ZCOMMERZ does not claim ownership of any content, product listings, images, text, or other materials that you upload or create through the platform ("Your Content"). However, by uploading Your Content, you grant ZCOMMERZ a non-exclusive, royalty-free, worldwide license to host, store, reproduce, display, and distribute Your Content solely for the purpose of operating and improving the Services. You represent and warrant that you hold all necessary rights and consents to upload and use Your Content on the platform.
8.2 ZCOMMERZ Intellectual Property
The ZCOMMERZ platform, name, logo, platform design, and all related intellectual property are owned by Software Shop Limited. You are not permitted to use ZCOMMERZ's trademarks, logos, or branding in any manner without prior written authorization from ZCOMMERZ.
9. Prohibited Activities and Acceptable Use
You agree not to use the ZCOMMERZ platform to:
ZCOMMERZ reserves the right to suspend or terminate your Account without notice if you are found to have violated any of the above. ZCOMMERZ shall not be held responsible or liable for any unlawful, unethical, or prohibited activities carried out by merchants using the platform.
10. Third-Party Services
ZCOMMERZ may integrate or provide access to third-party software, applications, or services ("Third-Party Services"), including payment gateways, logistics providers, and marketing tools. Your use of any Third-Party Services is governed by the terms and policies of the respective third-party providers.
ZCOMMERZ does not endorse, guarantee, or assume any responsibility for Third-Party Services. Any disputes arising between you and a third-party provider must be resolved directly with that provider. If you enable a Third-Party Service through your ZCOMMERZ Account, you authorize ZCOMMERZ to share necessary data with that third party to facilitate the integration.
11. Dispute Resolution
ZCOMMERZ is not a marketplace and is not a party to any transaction between you and your customers. Any disputes arising between merchants and customers including disputes about product quality, non-delivery, refunds, or fraudulent charges must be resolved directly between the involved parties. ZCOMMERZ does not assume any responsibility or liability for such disputes and is under no obligation to mediate or intervene in any merchant-customer disagreement.
For disputes between you and ZCOMMERZ, such disputes shall be governed by the laws of Bangladesh and resolved in the courts of Dhaka, Bangladesh, unless otherwise agreed upon in writing by both parties.
12. Privacy and Data Protection
ZCOMMERZ is committed to protecting the privacy and security of personal data processed through the platform. Our Privacy Policy governs ZCOMMERZ's collection, use, and processing of personal data and is incorporated into these Terms by reference.
You are responsible for ensuring that your collection, use, and processing of your customers' personal data complies with all applicable privacy laws and regulations, including the Digital Security Act of Bangladesh. You must maintain a clear and accessible privacy policy on your Store. If you utilize any tracking or analytics tools through the platform, you are responsible for obtaining appropriate consents from your customers.
13. Contracting Entity
ZCOMMERZ is a product of Software Shop Limited. For the purposes of this Agreement, the contracting party is Software Shop Limited, 93 B New Eskaton Road, Dhaka 1000, Bangladesh
This Agreement is governed by the laws of Bangladesh. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.
14. Term and Termination
These Terms of Service commence on the date you complete registration for a ZCOMMERZ Account and continue until terminated by either party in accordance with the provisions below.
Subscription Term: ZCOMMERZ operates on a Software-as-a-Service (SaaS) subscription model. Upon registration, you must select either a monthly or yearly subscription plan, as made available by ZCOMMERZ from time to time. Your subscription will automatically renew at the end of each billing cycle (monthly or yearly, as applicable) unless you cancel your Account prior to the renewal date.
Payment of Subscription Fees: All subscription fees are payable in advance at the start of each billing cycle. Payments must be made through the payment methods made available by Software Shop Limited, which may include but are not limited to bKash, Nagad, SSLCOMMERZ, credit or debit card, bank transfer, or any other payment channel as offered and updated by Software Shop Limited from time to time. ZCOMMERZ reserves the right to add, modify, or discontinue any available payment method at its discretion.
Cancellation by Merchant: You may cancel your subscription at any time by contacting ZCOMMERZ Support and following the account closure process. Cancellation will take effect at the end of your current billing cycle. You will continue to have access to the Services until the end of the paid period. No refunds, whether full or pro-rata, will be issued for any unused portion of a prepaid subscription term.
Suspension or Termination by ZCOMMERZ: ZCOMMERZ reserves the right to suspend or terminate your Account at any time, with or without notice, if you breach any provision of these Terms, engage in fraudulent or illegal activity, fail to make payment of applicable subscription fees on their due date, or if ZCOMMERZ determines that your continued access poses a risk to the platform or other users. In the event of termination due to non-payment, access to your Store and Account will be suspended immediately upon the expiry of any applicable grace period.
Effect of Termination: Upon termination of your Account for any reason: ZCOMMERZ will cease providing the Services; your Store will be taken offline; and any outstanding fees for the current or prior billing cycles will immediately become due and payable in full.
Survival. The following sections shall survive termination of this Agreement: Sections 4, 5, 6, 7, 8, 9, 11, 12, 13, and 16.
15. Modifications to Terms
ZCOMMERZ reserves the right to update or modify these Terms of Service at any time. For changes that materially affect your rights or use of the Services, we will provide reasonable advance notice via email or a notice within your ZCOMMERZ administrative console. Your continued use of the platform after notification constitutes your acceptance of the updated Terms.
ZCOMMERZ may change its Fees from time to time, with at least 30 days' advance notice provided via email or in-platform notification.
16. General Conditions
These Terms of Service, together with all documents incorporated by reference, constitute the entire agreement between you and ZCOMMERZ with respect to the subject matter herein.
The failure of ZCOMMERZ to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be unenforceable or invalid, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
You may not assign or transfer any of your rights or obligations under this Agreement without the prior written consent of ZCOMMERZ. ZCOMMERZ may assign this Agreement at any time without notice.
These Terms are governed by and construed in accordance with the laws of Bangladesh, without regard to conflict of law principles. If these Terms are made available in languages other than English, the English version shall prevail in the event of any inconsistency.
